DECLARE

that a prize operation known as "D-Challenge 2008" will be performed according to the methods indicated in the attached Regulations and in compliance with Decree of the President of the Republic (D.P.R.) nº 430 of 26/10/2001 implementing art. 19, paragraph 4 of Law nº 449/97.

DAINESE S.p.A. - hereby appoints PROMOZIONI & CONCORSI S.r.l. - Viale Isonzo, 6 - Milano - Tel. 02/5450340 and Fax 02/54103238 - to act as its representative for the domiciliation of the Regulations and keeping of the documentation relative to the operation.

REGULATIONS

DAINESE S.p.A. promotes a prize competition for consumers / web surfers belonging to the "D-Club".

09/03/2008 to 26/10/2008
Prizes will be awarded within 31/12/2008 or, in any case, within 180 days.

MECHANISM

All consumers / web surfers can participate in the D-CHALLENGE 2008 Operation, coupled with the MotoGP 2008 Championship. To participate, membership of the D-Club is required. All members of the D-Club on 09/03/2008 are automatically enabled to participate in the D-Challenge 2008.

The website will feature a dedicated section including an explanation of the participation methods.
There are 3 different ways of participating:
1 - by FORECASTING (winning a race or becoming overall champion);
2 - by inviting new friends to join the D-Club and "post a photo" in the D-Challenge "PIT-STOP";
3 - posting the most voted set of photos to the PIT STOP area.

1-FORECASTING

For every MotoGP race (starting approximately 10 days beforehand) all members may forecast the order of arrival of the riders classified in the first five places.

Approximately one hour before each MotoGP commences, members will no longer be able to make forecasts and, consequently, participate in the score allocation. The final voting deadline will be indicated by a countdown on the D-Challenge 2008 homepage.

For every correct forecast, each participant earns points as shown below:

1^st place: 3 points
2^nd place: 4 points
3^rd place: 5 points
4^th place: 6 points
5^th place: 8 points

Everyone who totalises a minimum score (established before each race and always displayed on-line) for a MotoGP race will receive:
- a personal and non-transferable discount coupon (hereinafter known as D-Cash) worth 35 euros (inclusive of VAT) to spend at D-Store On-line. Transport costs will be charged to Dainese. D-Cash discount coupons cannot be combined with other D-Cash discount coupons and can be used up to 30 days from the date of issue, after which they will expire and can no longer be used.

During the week following each MotoGP race, an e-mail will be sent to all who obtained the required score and earned the right to a discount coupon.

Additionally, those totalising the 10 highest points at the end of the MotoGP 2008 championship will receive the following prizes:

If more than one participant obtains the same score, the prize will go to the person who totalised the score first and/or the prize will be awarded by lot.

2 - INVITE A FRIEND (how to earn bonus points by inviting your friends to participate)

Each D-Challenge 2008 participant can earn additional points in the general classification (bonus points) by inviting friends, colleagues and relatives to participate in the event through the invitation system in the "Invite your friends" section.

Bonus points will be given when at least five invited persons join the D-Club and insert at least one photo in the D-Challenge 2008 PIT STOP area.

The higher the number of guests who join, the higher the bonus will be, not to mention the addition of gifts. All your guests can invite their friends in turn.

Bonus points are awarded as follows:

INVITED USERS WHO JOIN THE D-CLUB AND POST AT LEAST ONE PHOTO/VIDEO IN THE D-CHALLENGE PIT STOP	BONUS POINTS IN THE GENERAL CLASSIFICATION
5 users	7 bonus points
10 users	7 more bonus points + 1 D-Cash worth 19 euros
15 users	7 bonus points
25 users	7 more bonus points + 1 D-Cash worth 46 euros

An automatic e-mail dispatch system will inform the participants when one of their guests joins the D-Club and inserts at least one photo in the D-Challenge 2008 PIT STOP area.

The bonus points earned thanks to your guests will not be added to the points you obtain for each MotoGP race, but will only increase your overall score.

Only for members resident in a country not reached by DStoreOnline, discount coupons can be spent at an authorised Dainese store which will be agreed with the winner at the end of the competition.

3 - "POSTING" PHOTOS to the PIT STOP area

Each participant in the D-Challenge 2008 can post photos and videos concerning the world of dynamic sports to the D-Challenge 2008 PIT STOP area.

Those who, at midnight of 26/10/2008, have "posted" the best series of photos and videos, as voted by the other D-Club members, will receive:

" a Wave 2 Neck Vest worth € 250.00 or D-Cash worth € 150.00 to spend during one visit to D-Store On-line (or, only for members resident in a country that is not reached by DStoreOnline, at an authorised Dainese shop which will be agreed with the winner at the end of the operation) for the purchase of products in the Motorbike, Ski & Snowboard, MTB and Watersports collections.

The best set of photos and videos will be determined by the number of points ("helmets") totalised by the set of photos and videos "posted" by an individual participant. A video will be given a score five times higher than that given to a photo (e.g.: a video voted by 8 D-Club members with an average of 3 "helmets" will be given a score of 120).

PRIZE MONEY:

Prizes worth an overall € 5,000.00 - (VAT not included) - will be awarded, save final adjustment

DECLARATION:

DAINESE S.p.A. declares that:

• a communication will be made on the website www.dainese.it;
• prizes will be sent to the winners within 180 days of the win date;
• participants can only join the D-Club once;
• the promoter declines all liability for access problems, impediments, malfunctions or difficulty with equipment, computers, telephone line, cables, electronics, software and hardware, transmissions and connections and Internet connections that may prevent a competitor from accessing the site;
• participation in the event requires the personal data of participants to be processed in observance of Legislative Decree nº 196 of 30/06/2003 "Personal data protection act" and amendments thereto;
• the promoter declines all liability in case of failure to deliver the prize if the winner has incompletely or incorrectly indicated his/her e-mail address or personal data;
• In no case may the prizes be converted into cash;
• pursuant to art. 19 of Law nº 449 of 27/12/1997, VAT will be non-deductible on the purchase of the prizes constituting VAT-taxable goods and a 20% substitute tax on the prizes constituting non VAT-taxable goods will be paid.
